Terms of Service

1. Nature of the service
RDTI Lodge ("the Service") is a software-as-a-service product that helps eligible Australian companies organise their own information about research and development activities, apportion their own expenditure, and generate documents in formats accepted by AusIndustry and the ATO. Every output of the Service is generated mechanically from data you enter or import. The Service does not form a professional opinion on whether your activities or expenditure qualify under Division 355 of the Income Tax Assessment Act 1997 (Cth) or the Industry Research and Development Act 1986 (Cth).
2. Not a registered tax agent. Not advice.
- RDTI Lodge is not registered with the Tax Practitioners Board and does not provide tax agent services or BAS services for a fee or other reward.
- Nothing produced, displayed, calculated, suggested or generated by the Service is tax, financial, accounting or legal advice.
- The Service will not, and you must not use it to, refer you to any adviser or accept any referral fee or commission.
- If you need advice on whether your activities qualify, whether an expense is at risk, how to structure ownership, or how to lodge, you must engage a registered tax agent or qualified professional independently.
3. Your responsibilities as a claimant
- You confirm that the entity claiming the R&D Tax Incentive is an eligible R&D entity under ITAA 1997 s355-35.
- You are responsible for keeping contemporaneous records evidencing the hypothesis, experiment, evaluation and conclusion for each core R&D activity, and the dominant-purpose nexus for each supporting activity.
- You are responsible for apportioning expenditure correctly, applying associate, overseas, RSP, feedstock and clawback rules, and substantiating each figure.
- You must lodge the AusIndustry registration within the statutory 10-month window after the income year-end (IR&D Act 1986 s27A) and the R&D Tax Incentive Schedule with your company income tax return.
4. No warranty. Limitation of liability.
The Service is provided "as is". To the maximum extent permitted by law, RDTI Lodge gives no warranty that any output, calculation or generated document is accurate, complete, eligible, compliant or fit for any particular purpose, and is not liable for any loss (including denied offsets, shortfall penalties, general interest charge, audit adjustments, professional fees, or any consequential loss) arising from your use of the Service. The Australian Consumer Law guarantees that cannot be excluded continue to apply.
5. Compliance monitoring
You acknowledge that the ATO and AusIndustry actively monitor R&D Tax Incentive claims and the conduct of advisers and software providers. You will not use the Service in any way that misrepresents the nature of your activities or expenditure, and you will not represent to any third party that RDTI Lodge has reviewed, advised on, endorsed, or assumed responsibility for your claim.
6. Data & privacy
You retain ownership of all data you enter or import. The Service handles your information in accordance with the Privacy Act 1988 (Cth). You authorise the Service to access only the data you explicitly connect (e.g. Xero general ledger, payroll and contact data via OAuth) and only for the purpose of preparing your own R&D Tax Incentive claim.
6.1 Xero data handling
- What we read. When you connect Xero, the Service requests only read-only OAuth scopes covering: Chart of Accounts, general-ledger transactions, contacts (for R&D contractor identification), and payroll employees and timesheets (for time apportionment). We never request write scopes and we never write to your Xero file.
- How tokens are stored. OAuth access and refresh tokens are encrypted at rest using AES-256-GCM with a key held only on our Australian production servers. Tokens are never returned to the browser.
- Where data lives. All Xero data we retain is stored in our primary Australian database (Sydney, ap-southeast-2).
- Revocation. You can disconnect at any time from the Integrations page in the app. Disconnecting revokes the refresh token at Xero and deletes the stored tokens immediately. You can also revoke access from your Xero account at any time.
- Retention. If you delete your account, any cached Xero data is removed within 30 days.
- Disconnection events. If Xero notifies us via webhook that your connection has been revoked, we honour that revocation immediately.
7. Governing law
These Terms are governed by the laws of New South Wales, Australia.
